1: Select a Name: Your company name must include the word Corporation, Company, Incorporated, Limited or an abbreviation of one of those words.

2: Authorize Shares: The owners of a corporation are known as shareholders. The shareholders own shares of stock in the corporation, which designates ownership and gives them voting rights. Oregon requires you to designate how many shares you are initially authorizing. Typically, you would authorize a small number of shares, say 100. At the first shareholders meeting, you would issue 51% of those shares to yourself, giving you control of the company. The remaining shares can be saved for future business partners.

3: Choose Management: A corporation is managed by its Directors. The Directors are in charge of setting company policy, determining salaries and bonuses, issuing additional stock, and appointing the corporate officers (President, Treasurer, Secretary). In most cases, you would simply appoint yourself the sole Director and take on the roles of the corporate officers.
