1: Select a Name: Your company name must contain one of the following: Association, Company, Corporation, Club, Foundation, Fund, Incorporated, Institute, Society, Union, Syndicate or Limited, or one of the abbreviations Co., Corp., Inc., or Ltd.
2: Authorize Shares: A corporation’s owners are known as shareholders because they own shares of stock in the company. Oklahoma requires you to designate the number of initial shares you intend to authorize. Most corporations authorize a small number of shares, say 100. You would then issue 51% of those shares to yourself at the first shareholders meeting, giving you control of the company.
You can also designate the class of shares (most corporations issue only common stock) and a par value. The par value is not the actual value of the stock, but rather the lowest price at which the stock can be sold.
3: Choose Management: A corporation is run by Directors. The Directors are in charge of determining company policy, establishing salaries and bonuses, issuing stock, and appointing the corporate officers. Typically, you would appoint yourself the sole Director and take on the roles of the corporate officers (President, Secretary, Treasurer).
