1: Select a Name: Your company name must contain one of the following words or their abbreviation: Corporation, Company, Incorporated, or Limited.

2: Authorize Shares: A corporation’s owners are known as shareholders, and they own shares of stock in the company. New Mexico requires you to state the number of shares you intend to initially authorize. Most often, a corporation will authorize a small, easily-divisible number of shares (100, for example). At your first shareholders meeting, you would then issue 51% of those shares to yourself, giving you control of the company. The remaining shares can be left for future business partners. 

3: Choose Management: A corporation is controlled by its Directors. The corporation’s Directors are in charge of setting major company policies, issuing future shares of stock, establishing salaries and bonuses, and appointing the corporate officers. In most cases, you would simply appoint yourself Director and take on the various roles of the corporate officers (President, Treasurer, Secretary).

  • Business purpose: the legal business your corporation intends to pursue.
