1: Select a Name: Your company name must include one of the following: Incorporated, Inc., Limited, Ltd., Company, Co., Corporation or Corp.
2: Authorize Shares: When a corporation is formed, it authorizes shares of stock and then issues that stock to its owners. Owners are known as shareholders. Nevada requires you to designate the number of shares you will initially authorize and their par value. Typically, a corporation will authorize a small number of shares (say, 100). At the first shareholders meeting, you would issue 51% of those shares to yourself, giving you control. The par value of the stock is not the actual value, but rather the lowest price at which the stock can be sold.
3: Choose Management: Corporations are managed by their Directors. The Directors set major company policy, issue stock, determine salaries and bonuses, and appoint the corporate officers (President, Treasurer, Secretary). Generally speaking, you would appoint yourself the sole Director and take on the duties of the various corporate officers.
