Steps to Forming a Wyoming Corporation

Information We Need From You to Start Your Corporation

1: Select a Name: Wyoming is unique in that corporations are not required to have a corporate identifier as a part of their company name. You are not required to include Corporation, Incorporated, etc. However, your company name must be available for use or distinguishable from other corporate names currently on record.

2: Authorize Shares: A corporation is owned by its shareholders. The shareholders own shares of stock in the company. Wyoming requires you to identify the number of initial shares of stock you intend to authorize. Typically, you would authorize a small, easily-divisible number of shares, like 100. At the first shareholders meeting, you would then issue 51% of those shares to yourself, giving you control of the company. The remaining shares can be held for future business partners.

3: Choose Management: Corporations are run by their Directors. Directors are responsible for setting salaries and bonuses, determining company policy, issuing additional shares of stock, and appointing the corporate officers. Generally speaking, you would assign yourself as sole Director and take on the roles of the corporate officers (President, Treasurer, Secretary).

4: Remaining Info Needed to File:

  • Registered Agent: a lawful registered agent must maintain a physical street address within the state, known as a registered office. This cannot be a PO box. All of our Speedy filings come with one free year of Wyoming registered agent service by Northwest Registered Agent. This service keeps your private home and office addresses out of the public record and fulfills your registered agent, mailing and principal office requirements.

  • Principal office address: the physical street address of the business office where your corporate books and financial records are kept.

Information We Need From You to Start Your LLC

1: Select a Name: Your company name must include the words Limited Liability Company, Limited Company, LLC, L.L.C., LC, L.C., Ltd. Liability Company, Ltd. Liability Co., or Limited Liability Co. If you want to see if your company name is currently available, you can do a Wyoming business name search.

2: Membership: LLCs are owned by their members. A member is not issued shares of stock, as they would be in a corporation. Instead, they receive an ownership percentage, which is normally (though not always) based upon the amount each member has invested into the company.

3: Choose Management: LLCs are typically managed by their memebers, who establish the company policy and generally take part in the daily operations. However, an LLC can also opt to appoint a manager to run the company. Managers can be members, or they can be outside parties.
